Call for nominations for election to the NCOSS Board

NCOSS is calling for nominations for election as a Director to the NCOSS Board. This year, there are four vacancies to fill.

To be eligible for election as an NCOSS Director, you must be the nominated representative of an NCOSS member organisation or an individual member in your own right.

To nominate for election to the NCOSS Board, you must submit the completed nomination form, which includes information supporting your candidacy, to the Company Secretary by email. Nominations close at 11:59pm on Sunday, 5 October 2025.

Members who would like to stand for election as a Director must have their nominations:

  • Proposed by a NCOSS member (either the nominated representative of a NCOSS member organisation or an individual NCOSS member)
  • Seconded by another NCOSS member.

Please note, a member (including any member organisation) may only propose one candidate, but they may second more than one nomination. Also, you can't nominate yourself or second your own nomination.

Resolutions relating to the election of Directors will be sent to all members with the formal Notice of Meeting, along with information on how to cast a vote.

The formal Notice of Meeting will be circulated on Friday, 24 October 2025 and voting will open on that date.

 

Who is the “nominated representative” of an NCOSS member organisation?

A member organisation's nominated representative is the person nominated by the organisation to be their organisation’s representative for the purposes of their NCOSS membership. A nominated representative votes, on their organisation’s behalf, on resolutions and in Board elections. They may also stand for election to the NCOSS Board.

A member organisation’s nominated representative is usually the Chair of their Board, CEO or other senior person, but it can be anybody the organisation nominates. Nominations must be in writing, and a member organisation can change their nominated person at any time by advising NCOSS in writing.

Call for resolutions
Members may lodge resolutions they wish to raise for consideration at the AGM under rule 124 of the NCOSS Constitution. There are two ways to do this:

  1. By obtaining the support of at least 5% of members eligible to vote on the proposed resolution (or at least 100 members eligible to vote) and providing at least two months' notice (rule 124.1)
  2. By submitting the proposed resolution for the Board’s consideration (rule 124.2)

Proposed resolutions under rule 124.1 must be lodged by completing the approved form, which must be signed by the members who endorse the resolution. The completed form must be emailed to the Company Secretary by 11.59pm on Friday, 19 September 2025.

Proposed resolutions under rule 124.2 must be lodged by completing the approved form, which must be emailed to the Company Secretary by 11:59pm on Sunday, 5 October 2025.​​

Like the resolutions relating to the election of Directors, resolutions proposed by members which meet the requirements of rule 124 of the NCOSS Constitution will be sent to members with the formal Notice of Meeting, along with information on how to cast a vote.

Information about the Board election

Under the NCOSS Constitution:

  • One third of the Board must stand down each year and either nominate for re-election or retire from the Board
  • Any Director who has served three years from the date of their election (or re-election) must stand down and either nominate for re-election or retire from the Board
  • No Director may serve for more than nine years from the date they were first elected without a special resolution of members.

These requirements allow for renewal of the Board.
